智通财经APP讯，励时集团(01327)发布公告，于2026年6月4日，本公司与配售代理订立配售协议，据此，本公司已有条件同意按尽力基准透过配售代理以配售价每股配售股份0.50港元，向不少于六名承配人(其为独立于本公司及其关连人士的第三方的专业人士、机构或其他投资者)配售最多4313.09万股配售股份。配售股份将根据一般授权配发及发行。

假设配售股份获悉数配售，配售事项项下的最高4313.09万股配售股份数目相当于本公司于本公告日期的已发行股本约20.00%及经发行配售股份扩大后的已发行股本约16.67%。

配售价每股配售股份0.50港元较于配售协议日期在联交所所报收市价每股股份0.50港元相比并无折让。

假设所有配售股份均获悉数配售，配售事项的估计所得款项总额及所得款项净额(经扣除配售佣金及其他相关开支及专业费用后)将分别为约2160万港元及约2080万港元。本公司拟将有关所得款项净额用于以下用途：(i) 所得款项净额约91.3%用于偿还本集团的应付债券(包括利息开支);及(ii) 所得款项净额约8.7%用作本集团的一般营运资金及改善本集团的现金状况，进而有助于建立及增强本集团的现有及未来业务。
