智通财经APP讯，创科实业(00669)发布公告，公司于2026年6月1日与独立经纪商香港上海汇丰银行有限公司(“经纪商”)订立协议(“经纪协议”)，据此，经纪商或其关联公司(将成为交易所参与者(定义见上市规则))将根据经纪协议所载之预定参数于联交所回购不超过5亿美元之公司普通股(“股份”)(“自动股份回购计划”)。根据经纪协议，经纪商将不可撤销地被委任为公司的经纪商及代理人并将按照经纪协议的条款代表公司于联交所进行股份回购。
自动股份回购计划将受限于上市规则第10.06(2)(a)条及联交所指引信117-23(“指引信117-23”)所载交易限制(尚有其他)。自动股份回购计划将于2026年6月2日(包括该日)开始实施(“生效日”)，并将在以下最早日期(包括该日)结束：(i)自生效日起十八个月;(ii)就回购股份已付的代价总额达到5亿美元时;及(iii)根据经纪协议条款提前终止自动股份回购计划时。此外，任何股份回购将根据公司于每年举行之股东周年大会上向股东寻求回购股份之一般授权进行，而最近一次回购股份之一般授权乃于公司2026年5月8日举行之股东周年大会上授出。
