南财智讯6月1日电，美格智能（002881）发布须予披露交易公告，公司全资子公司众格智能于2026年5月28日与MinhangInvestment签订《股权转让协议》，拟以不超人民币285492339.05元的总代价收购标的公司100%股权并承接其相关债务。其中，股权对价不超人民币85994893.19元，承接债务人民币199497445.86元。标的公司主营物业租赁、物业管理及房地产咨询等业务，持有位于上海市顾戴路2337号的物业资产。交易完成后，标的公司将成美格智能100%间接全资附属公司，其财务业绩将纳入公司合并财务报表。该交易构成深交所上市规则下须经股东大会批准的须予披露交易，将提交2026年6月16日召开的年度股东大会审议。
