智通财经APP讯，MIRXES-B(02629)发布公告，马露玲女士因有意专注于其他业务追求及事务，于2026年5月29日辞任独立非执行董事、公司提名委员会主席及公司薪酬委员会成员职务，即时生效。于2026年5月31日，董事会决议接受马露玲女士的辞任。
于2026年5月31日，董事会决议委任：(a)林倩丽博士为提名委员会成员;(b)方晓先生为提名委员会主席; (c)朱兴奋博士为薪酬委员会成员，均即时生效。
曾国伟先生于2026年5月31日获委任为独立非执行董事，即时生效，以填补马露玲女士辞任所产生的临时空缺。因此，根据公司第三次经修订及经重列组织章程大纲及细则，曾国伟先生的任期将直至其获委任后首个公司股东周年大会(即公司应届股东周年大会)为止，并须由股东于股东周年大会上重选。在曾国伟先生获委任为独立非执行董事的同时，其亦获委任为公司提名委员会、薪酬委员会、审核委员会及公司独立调查委员会成员，即时生效。
