智通财经APP讯，1957 & CO.(08495)发布公告，内容有关出售铜锣湾赤の匠品牌餐厅业务(该交易)。于2026年6月5日，卖方(本公司的间接全资附属公司)与买方经公平磋商后订立和解协议，以友好解决因(其中包括)买方未完成该交易而产生的争议。
根据和解协议，卖方及买方同意在若干条件下解决争议，包括根据和解协议的条款更新及转让赤の匠业务的相关牌照以及支付总额35万港元(和解金额)。
本集团一直维持其立场，认为卖方已于最后截止日期或之前履行业务转让协议项下的相关先决条件，而买方未能根据业务转让协议的条款完成该交易。
尽管如此，经考虑(其中包括)(i)进行正式法律程序可能产生的时间、成本及管理资源;(ii)任何有关程序的结果及时间存在不确定性;(iii)和解金额与卖方已收取及保留的金额相比;及(iv)友好解决争议及达成最终结果的好处，董事会认为订立和解协议属公平合理，并符合本公司及股东整体利益。
