智通财经APP讯，环球实业科技(01026)发布公告，于2026年6月5日，本公司、卖方(本公司间接附属公司)、买方东莞市弘舜劭和发展及目标公司东莞市擎珲置业订立买卖协议，卖方有条件同意出售及买方有条件同意收购目标公司49%股权，代价为人民币850万元(约等于980万港元)。

目标公司的主要业务活动为持有供水拓展公司的全部股权。供水拓展公司为一间于中国注册成立的有限公司及为目标公司的全资附属公司。供水拓展公司主要从事向中国广东省清远市清城区提供管线供水。

水质检测公司为一间于中国注册成立的有限公司及为供水拓展公司的全资附属公司。水质检测公司主要从事提供水质检测服务。

董事认为，出售事项对本集团而言是一个良好机会，可降低因争议及诉讼所引致的风险;消除政府指定水厂所征收的高昂水费对本集团盈利能力造成的负面影响;及将供水业务产生的应付账款及因附加费用而产生的其他应付款项(现均分类为流动负债)从本集团综合财务报表中解除合并，从而显著改善本集团的净资产及净流动资产/(负债)状况。董事进一步注意到，出售事项仅涉及本集团供水业务的部分(而非全部)资产，余下集团将透过余下供水集团继续在清新区经营供水业务，该业务连同物业业务及金融业务共同构成切实可行、可持续及规模可观的营运及资产价值。
