智通财经APP讯，华亿金控(08123)公布，董事会已注意到公司股份价格及成交量近期出现不寻常变动。经作出就公司于相关情况下属合理的所有查询后，董事会确认，除下文所披露者外，其并不知悉该等价格及成交量波动的任何原因，亦不知悉任何为避免股份出现虚假市场而须予公布的资料，或任何根据证券及期货条例第XIVA部须予披露的内幕消息。
据悉，公司执行董事兼主要股东王嘉伟先生目前正与公司磋商订立认购协议，以将公司结欠其全部或部分股东贷款资本化(可能债务资本化)。于本公告日期，王嘉伟先生于35,389,932股股份中拥有权益，约占公司已发行股本的27.4%。倘可能债务资本化落实，可能导致公司控制权变更，并触发王嘉伟先生及其一致行动人士根据收购守则第26.1条提出强制性全面要约的责任。
公司正考虑于可能债务资本化完成及要约结束后进行潜在供股。可能供股可能或可能不会按包销基准进行，且王嘉伟先生可能或可能不会承诺认购其于要约结束后持有或将持有权益股份(如有)的配额。
