金吾财讯 | 博通(AVGO)宣布正式启动一项总额最高达25亿美元的现金要约收购，拟回购旗下六个系列已发行的未偿还高级票据。此次回购不设融资条件，亦无最低投标金额限制，巴克莱资本和花旗环球金融担任此次要约收购交易经办人。本次要约收购的截止时间定为2026年6月17日纽约时间下午5:00，预计首批结算日期为6月18日，最后交割期限为6月22日。根据公告，本次现金回购设定了明确的接受优先顺序，涵盖到期日从2030年至2038年不等的六期高级票据，总对价上限(不含应计利息)为25亿美元。具体而言：票面利率为 4.926% 的2037年到期高级票据位列第一优先权；其次是 4.900% 的2038年到期票据。2030至2032年期间到期的另外四期票据紧随其后。定价机制方面，每1,000美元本金的回购总对价，将以2026年6月17日纽约时间上午11:00的美国国债参考收益率为基准，加上各自法定的固定利差(Fixed Spread，介于25至80个基点之间)综合测算得出。
