　　绿科科技国际（00195）发布公告，本公司已根据收购守则规则2.1及规则2.8成立董事会辖下的独立董事委员会，以就部分收购要约向合资格股东提供意见。独立董事委员会包括拿汀斯里林美玲、金宇亮先生及彭文婷小姐，彼等均为于部分收购要约中并无直接或间接拥有权益的独立非执行董事。

　　经独立董事委员会批准，第一上海融资有限公司（根据证券及期货条例可从事第6类（就机构融资提供意见）受规管活动的持牌法团）已获本公司委任为独立财务顾问，以就部分收购要约及接纳要约向独立董事委员会提供意见。
