智通财经APP讯，中国金茂(00817)发布公告，于2026年6月16日，北京亦城(公司间接全资附属公司)与嘉兴琮茂签署股权转让协议，据此，北京亦城同意收购而嘉兴琮茂同意出售天津体茂51%的股权及债权本息约人民币5.22亿元，总对价约为人民币8.84亿元。
天津体茂成立于2023年6月1日，截至本公告之日，天津体茂的注册资本金为人民币3000万元，由天津东辉及嘉兴琮茂分别持有其49%及51%的股权。于本次交易完成后，天津体茂将成为公司的间接全资附属公司。
天津体茂从事该项目的开发。该项目位于中国天津市河西区。该项目占地约10.82万平方米，已开发为可售住宅项目及社区配套设施，计容建筑面积共计约22.65万平方米。预计将于2027年9月全部竣工。
嘉兴琮茂因其自身原因拟出售其持有的天津体茂股权。于本次交易前，天津体茂为公司的间接联属公司，其日常经营管理及该项目的开发均由本集团主导负责。通过本次交易，天津体茂将成为公司的间接全资附属公司，可确保该项目后续开发相关各项事宜顺利开展。
