智通财经APP讯，和嘉控股(00704)发布公告，公司收到山东济南中院发出裁定书。及此，公司董事会谨此通知公司股东，因公司需要更多时间(其中包括)资询中国法律顾问及评估其对财务报表及财务预测的影响，并视需要酌情调整财务报表，对应处理包括现金流预测、资产评估等相关审计程序，因此，集团截至2026年3月31日止年度的财务报表审计工作尚未全面展开 (包括审计现场工作)。故公司预期截至2026年3月31日止年度经审核的全年业绩将延迟发布。
根据上市规则第 13.49(1)条，公司须在公司财政年度结束后3个月内(即2026年6月30日或之前)刊发年度业绩公告。鉴于上述情况，董事会认为公司无法按照上市规则的规定于2026年6月30日或之前刊发年度业绩公告。延迟刊发年度业绩公告构成违反上市规则第 13.49(1)条。
董事会评估认为，延迟刊发年度业绩公告，不会影响集团的业务及营运。
根据上市规则第 13.46(2)条，公司须在公司财政年度结束后不超过4个月内(即2026年7月31日或之前)就截至2026年3月31日止年度寄发年报。由于年度业绩公告将延迟刊发，预期2025/26年年报亦需要延迟寄发。
