智通财经APP讯，宜明昂科-B(01541)发布公告，于2026年6月18日(联交所交易时段后)，本公司、嘉兴昶新及目标公司宜明凯尔生物医药技术(上海)有限公司订立增资协议，据此，嘉兴昶新同意认购目标公司新增资本人民币32.5万元，即目标公司新增注册资本的14.0%，对价为人民币32.5万元。增资完成后，本公司及嘉兴昶新于目标公司的股权将分别为80.0%及20.0%。

嘉兴昶新为就目标公司(本公司非全资附属公司)设立的员工持股平台。增资的目的与目标，在于肯定本集团雇员的贡献并向其提供奖励，从而令雇员与本集团的利益保持一致，并留住人才以利于本集团的持续运营及发展。增资为本集团合资格雇员提供机会，相关雇员可透过员工持股平台(即嘉兴昶新)，根据目标公司日后将予采纳的员工激励计划，认购目标公司权益。当目标公司采纳有关员工激励计划时，本公司将遵守上市规则项下相关规定。

本公司认为，增资符合本集团吸引人才的长期战略发展目标，使雇员利益与本集团长期目标保持一致，并提升雇员留任率及激励效果，从而推动本集团的稳定长远发展。因此，董事会(包括独立非执行董事)认为(i)增资协议的条款乃公平合理;(ii)增资协议乃按正常商业条款或更佳条款订立;及(iii)订立增资协议符合本公司及其股东的整体利益。
