金吾财讯 | 生物制药巨头渤健 (BIIB) 达成收购私营生物科技企业 RayThera 的交易，整体交易对价上限 10 亿美元，交易结构由前期预付款与多阶段临床、监管里程碑分成款项构成，交易完成后将全面补强渤健自身免疫疾病产品矩阵。消息公布周四盘前，渤健股价小幅上涨 0.5%，前一交易日收盘涨幅 1.6%。
RayThera 核心管线储备多款抗炎候选药物，适配各类免疫介导类疾病治疗，企业核心候选分子预计今年三季度初启动一期临床开发。渤健研发负责人表示，本次并购纳入的资产具备跨适应症拓展潜力，能够长期丰富公司研发管线，企业将加速推进首款候选药物进入临床阶段。
该笔交易尚待监管机构审批，预计三季度完成交割，交割后由渤健全权负责全部管线的研发、生产与全球商业化推广。今年 3 月渤健已敲定 56 亿美元全现金收购 Apellis Pharmaceuticals (APLS.US)，补强免疫、罕见病与肾病赛道，连续两笔并购体现企业深耕免疫治疗领域的长期战略，通过外部并购快速补齐自研管线短板，拓宽全球治疗药物布局。
