智通财经APP讯，桦欣控股(01657)及要约人香港伟业软件股份有限公司联合公布，购股协议项下的所有先决条件已获达成，且完成已于2026年6月23日落实。根据购股协议，要约人按总代价1.99亿港元收购合共2397万股股份。紧接完成前，要约人、其最终实益拥有人、其董事及要约人一致行动人士(卖方除外)概无持有任何股份;及卖方于2397万股股份(即销售股份)中拥有权益。完成后，要约人及要约人一致行动人士合共拥有2397万股股份，占截至本联合公告日期本公司已发行股份总数74.91%。
因此，根据收购守则规则26.1，要约人须于紧随完成后就所有已发行股份(要约人及要约人一致行动人士已拥有及╱或同意将予收购者除外)作出强制性无条件现金要约。
