庄士中国（00298）与庄士机构国际（00367）联合发布公告，Chinaculture.com（为庄士中国的直接全资附属公司）于2026年4月22日（要约公布日期后的下一日）至2026年6月18日期间，在联交所进行一系列市场出售，合共出售其持有的1892.2万股北海（北海集团有限公司，股份代号：00701）股份，总现金代价约为260万港元（相等于每股北海股份平均约0.139港元，其介乎每股北海股份约0.110港元至0.208港元）（不包括交易成本）。
Chinaculture.com已就其持有的2.99亿股北海股份按要约价每股北海股份0.1港元接纳北海要约。北海已于2026年6月17日宣布北海要约为无条件。Chinaculture.com将会因接纳北海要约而收取总现金代价约2990万港元（不包括交易成本）。
