智通财经APP讯，智欣集团控股(02187)发布公告，于2026年6月26日(交易时段后)，卖方厦门智欣建材集团有限公司(本公司的全资附属公司)与买方厦门特区建投建筑材料有限公司及本公司(作为担保人)签订买卖协议，据此卖方有条件同意出售且买方有条件同意购买目标权益(即目标公司厦门智欣新材料有限公司的全部股权)，总代价为人民币4666.2万元(相当于约5400万港元)。
目标公司由本集团在中国成立，唯一目的为持有本集团的主要预拌混凝土生产及其他配套设施，主要包括： (a) 物业为位于中国福建省厦门市集美区灌口大道55号的一幅土地及建设于其上的多幢楼宇; (b) 预拌混凝土生产线及厂房和设备;及 (c) 物流及其他配套资产，包括卡车、办公设备、资质及许可证等。
董事认为，出售事项为本集团提供良机，让本集团能够变现该等资产令人满意的收益，整合财务资源用于开发环保及轻质建筑制品或其他更好的机遇，以及改善本集团的整体现金流及财务状况。
董事(包括独立非执行董事)认为，买卖协议的条款公平合理，按正常商业条款订立，出售事项符合本公司及股东的整体利益。
