智通财经APP讯，健倍苗苗(02161)及雅各臣科研制药(02633)联合公布，于2026年6月29日，雅各臣科研制药(02633)间接全资附属欧化药业拟向健倍苗苗(02161)间接全资附属Po Chai Herbal出售李众胜堂(集团)有限公司12.45万股份，总代价为7470万港元。于完成后，PoChaiHerbal将为48.4万股目标公司股份的合法及实益拥有人，占目标公司已发行股份总数的96.8%。
于本联合公告日期及完成前，目标公司由Po Chai Herbal、欧化药业及一名独立第三方分别拥有71.9%、24.9%及3.2%权益。其主要从事制造及销售品牌中药。
公告称，该交易将令健倍苗苗巩固其对目标公司的控制权及策略方向。有关控制权整合将让健倍苗苗精简企业管治及决策流程，从而提高行政及营运效率。预期此举将推动目标公司的长远增长及稳定，最终提升其市场地位及整体价值。向健倍苗苗出售销售股份可让雅各臣变现对目标公司投资的财务收益，将非控制股权转化为流动资金。出售所得款项可供雅各臣重新调配作一般营运资金。
