　　为锚定长期发展，天润云（02167.HK）近期推出限制性股份单位股权激励计划，以长效人才激励绑定硬核业绩指标，依托成熟AI技术与高增业绩底盘，全面锁定中长期成长红利。

　　最核心的设计，是直接锚定未来三年公司AI核心增长目标：以2025年业绩为基准，2026-2028财年AI解决方案收入平均增速超70%，方可全额解锁当期股份；增速处于50%-70%区间将酌情核定归属比例，若平均增速不足50%则对应股份全部注销。

　　股份来源方面，本次授予的164.6万份受限制股份单位均由公司存量库存股份提供，无需增发新股，不会对原有股东权益造成稀释；同时计划仍留存超113万股储备股份，为后续持续引进AI领域优质人才预留空间。

　　此外，从激励覆盖人群来看，本次合计向48名核心员工授出股份，全部为一线业务骨干，不含公司董事、高管、主要股东及其关联人士，激励资源精准投向深耕AI业务落地的执行团队。

　　业绩来看，2025年，AI数字员工解决方案收入同比暴涨29倍，AI赋能解决方案收入同比增长70.3%，两大AI业务合计收入增幅超105%，已成为公司第二增长曲线。步入2026年，公司一季度AI相关收入再度同比增长105%；同年3月ZENAVA平台Token调用量环比大涨60%，单日调用量突破百亿。
