智通财经APP讯，中国创意控股(08368)发布公告，于2026年7月9日(联交所交易时段后)，卖方薄官君、本公司与买方Genius Field Global Limited(本公司的直接全资附属公司)订立了买卖协议，根据买卖协议，买方有条件同意收购且卖方有条件同意出售目标公司的全部已发行股本，代价为2494.36万港元，将在完成日期由本公司透过向卖方或其代名人按每股 0.218港元的发行价配发及发行代价股份(入账列为缴足)的方式偿付。收购事项完成后，目标公司将成为本公司的间接全资附属公司，其财务业绩将并入本公司的财务业绩内。
将配发及发行合共1.14亿股股份作为代价股份，为(i)于本公告日期本公司现有已发行股本约19.80%;及(ii)经配发及发行代价股份扩大的本公司已发行股本(假设于本公告日期至完成日期为止，本公司已发行股本概无其他变动)约16.53%。发行价0.218港元为于买卖协议日期联交所所报每股股份收市价0.220港元约0.91%的折让。
本公司将向GEM上市委员会申请代价股份上市及买卖。代价股份将根据一般授权配发及发行，毋须获得股东批准。
