律师事务所近日提醒Commvault Systems（NASDAQ： CVLT）的投资者，可在2026年7月17日之前申请成为该证券集体诉讼的首席原告。该诉讼已向美国新泽西州联邦地区法院提起。

　　诉讼指控Commvault及其部分现任及前任高管在2025年4月29日至2026年1月26日期间，违反了《1934年证券交易法》。诉状称，被告给投资者制造了公司年度经常性收入（ARR）增长将在2026财年保持稳定的假象，但未充分披露销售结构变化对ARR增长的实质影响。

　　具体而言，公司未披露的是，ARR增长正日益受到销售结构变化的压力——越来越多的销售额来自低价值SaaS交易和大幅折扣的长期合同。2026年1月27日，Commvault公布2026财年第三季度财报，显示净新增ARR仅为3900万美元，低于此前给出的4500万美元指引。财报同时披露，约60%的交易在该季度最后几周才完成，SaaS交易占净新增ARR的70%，但其平均售价较定期许可销售低二至三倍。

　　受此消息影响，Commvault股价当日暴跌逾31%，市值蒸发约17亿美元。根据《1995年私人证券诉讼改革法案》，在诉讼期间购买或收购Commvault证券的任何投资者均可申请成为首席原告。首席原告通常是在诉讼中拥有最大经济利益的投资者，将代表所有集体成员指导诉讼进程，并可自主选择律师事务所。投资者即使不担任首席原告，也不影响其分享任何潜在未来赔偿的权利。
