Elutia said it signed a definitive agreement to sell its SimpliDerm business to Cellution Biologics for up to $11 million.

The deal includes $8 million at closing and up to $3 million in technology transfer and commercial milestone payments over 18 months. Closing is expected in the second half of 2026.

The company said the proceeds provide non-dilutive capital and sharpen its focus on NXT-41x, a next generation antibiotic-eluting biomatrix for plastic and reconstructive surgery.

Elutia plans a targeted commercial launch of NXT-41x in 2027 and is developing it for a U.S. market the company sizes at about $1.5 billion.
