多家股东权益律师事务所近日宣布，已对癌症检测公司Personalis拟被Tempus AI收购的交易展开调查，关注点集中在交易价格是否公允以及董事会是否履行了信义义务。

　　根据7月20日公布的协议，Tempus AI将以每股16.25美元的价格收购其尚未持有的全部Personalis流通股份。扣除Tempus现有持股后，此项交易的企业价值约为15亿美元。每股收购价较公告前最后一个交易日收盘价溢价6%，较30日未受影响的成交量加权均价溢价28%。

　　发起调查的律所包括Brodsky & Smith LLC、Julie & Holleman LLP以及Halper Sadeh LLC等。调查核心涉及两方面：一是交易对价是否充分反映了Personalis的长期价值，特别是在微量残留疾病检测需求持续增长的背景下；二是在销售过程中，Tempus因2023年起便与Personalis建立商业合作关系并持有其股份，可能存在的利益冲突是否影响了公平性。

　　Personalis是微量残留疾病检测领域的领先企业，其NeXT Personal检测技术以超灵敏度著称。两家公司预计交易将于2026年底或2027年初完成，尚需Personalis股东和监管机构批准。
