智通财经APP讯，中国心连心化肥(01866)发布公告，经考虑香港联合交易所有限公司(联交所)就陈先生的独立性所提出的意见，并基于审慎合规及确保持续符合香港联合交易所有限公司证券上市规则(上市规则)有关董事独立性的规定，董事会已议决，自2026年7月22日起将陈伟贤(陈先生)由独立非执行董事调任为非执行董事(调任)。
陈先生自2026年6月23日起担任本公司独立非执行董事、董事会审核委员会及提名委员会成员以及董事会薪酬委员会主席。自调任生效之日起，陈先生将担任本公司非执行董事。
自2026年7月22日起，陈先生将不再担任薪酬委员会主席及提名委员会成员，但将继续担任审核委员会成员及薪酬委员会成员。
现任独立非执行董事李红星先生获委任为薪酬委员会主席，自2026年7月22日起生效。于上述变动后，薪酬委员会的组成将符合上市规则的相关规定。
