　　此次调查源于一份做空报告引发的股价暴跌。2026年6月24日，Umibōzu Research发布报告，指控EquipmentShare存在未披露的关联方交易，称这些交易为创始人的关联实体带来了至少7700万美元的收益，实际数字可能更高。受此消息影响，EquipmentShare股价在两个交易日内暴跌17.5%，从6月24日的22.30美元跌至6月25日的19.69美元。截至诉讼提起时，该股已跌至16.06美元，较24.50美元的IPO发行价跌幅超过34.5%。

　　诉讼指控EquipmentShare及其部分高管违反了联邦证券法，在IPO注册声明及整个诉讼期间未能披露重大信息，包括：公司参与了额外的未披露关联方交易；公司未终止或大幅减少与联合创始人拥有或控制的实体之间的多项交易；其财务报表因此存在重大误导性等。

　　此次集体诉讼的集体诉讼期为2026年1月23日至6月23日，投资者需在2026年9月21日前向法院申请成为首席原告。多家律师事务所已就此案发布通知，提醒股东注意相关截止日期。
