格隆汇7月31日丨希教国际控股(01765.HK)公告，于2026年7月31日(交易时段后)，买方启智国信(四川)教育科技、卖方四川希望教育产业集团、目标公司四川永和教育投资与买方担保人订立股权转让协议，据此，卖方有条件同意转让而买方有条件同意收购目标公司的100%股权及其附属实体。卖方将就出售事项收取股权代价和股东净债务款项，共计人民币39,572万元，其中股权代价为人民币37,720万元，股东净债务为人民币1,852万元，惟可根据股权转让协议的条款及条件进行调整。买方担保人同意为股权转让协议项下买方、目标主体的义务和责任提供不可撤销的连带责任保证担保。 目标公司为一家在中国注册成立的有限公司，主要从事教育管理及教育行业投资。于本公告日期，目标公司由卖方全资拥有。 进行出售事项的理由及裨益：(i)公司战略转型，由追求办学规模数量转向高质量办学，集中资源提质培优；及(ii)响应国家鼓励多层次社会资本办学的政策导向，回笼资金以支撑本公司可持续发展。
