智通财经APP讯，蚬壳电业(02381)及要约人星兆控股有限公司联合公布，于2026年7月31日，要约人拟向蚬壳电器控股有限公司收购14亿股股份，占本联合公告日期已发行股份总数的70%，总代价为1.54亿港元，相当于每股销售股份0.11港元。
此外，公司拟于完成前宣派特别股息，金额为约9150万港元(相当于每股特别股息 0.04575港元)。
紧随完成后，要约人及要约人一致行动人士(卖方除外)将持有14亿股股份权益(相当于本联合公告日期已发行股份总数的70%)。要约人须就所有已发行股份(要约人及要约人一致行动人士已拥有及/或同意收购的股份除外)作出强制性无条件现金要约。 每股要约股份现金0.11港元，较股份于最后交易日在联交所所报收市价每股0.320港元折让约65.63%。
于本联合公告日期，要约人由深圳市天珑移动技术有限公司(即天珑移动)间接全资拥有，该公司主要从事电信设备及电子产品的研发、制造及销售。
