路透8月3日 - Supernus制药公司（SUPN.O）和Indivior制药公司（INDV.O）周一表示，双方已达成全股票合并协议，合并后的新公司年营收将达约22亿美元，并拥有涵盖神经系统疾病、精神疾病及成瘾相关疾病领域的药物组合。

在盘前交易中，Supernus股价上涨逾20%，Indivior股价上涨近10%。

  • 合并后的新公司将拥有11种已上市药物，用于治疗阿片类药物成瘾、癫痫、偏头痛、帕金森病和注意力缺陷多动障碍等疾病。两家公司预计每年可节省约1.25亿美元成本。

  • Supernus股东每持有一股将获得1.5401股Indivior股票。Indivior股东将持有合并后公司约56.5%的股权，其余股权由Supernus股东持有。

  • Indivior股东还将在合并完成前立即获得10亿美元的特别现金股息。两家公司计划通过新增债务筹集其中6.5亿美元，其余部分则由现有现金支付。

  • 两家公司表示，合并后的新公司将命名为 Supernus, Inc，由 Supernus 首席执行官杰克·卡塔尔（Jack Khattar）领导。合并后公司的净债务预计约为 8.78 亿美元。

  • 公司将设立一个由八名成员组成的董事会，其中每家公司各派四名董事。

  • 此次合并预计将于2026年第四季度完成，但须获得股东和监管机构的批准，并满足其他交割条件。
