希教国际控股（01765）发布公告，于2026年7月31日，买方启智国信（四川）教育科技、卖方四川希望教育产业集团、目标公司四川永和教育投资与买方担保人订立股权转让协议，卖方有条件同意转让而买方有条件同意收购目标公司的100% 股权及其附属实体。卖方将就出售事项收取股权代价和股东净债务款项，共计人民币3.96亿元，其中股权代价为人民币3.77亿元，股东净债务为人民币1852 万元，惟可根据股权转让协议的条款及条件进行调整。买方担保人同意为股权转让协议项下买方、目标主体的义务和责任提供不可撤销的连带责任保证担保。
公司战略转型，由追求办学规模数量转向高质量办学，集中资源提质培优；及响应国家鼓励多层次社会资本办学的政策导向，回笼资金以支撑本公司可持续发展。
