智通财经APP讯，升辉科技(300423.SZ)发布公告，公司拟终止原发行股份购买赫普能源环境科技股份有限公司(简称“赫普能源”“标的公司”)85%股权并募集配套资金事项，另行以现金方式收购赫普能源股权，目前已与赫普能源5名原股东及标的公司签署《支付现金购买资产之框架协议》。
据悉，受电力价格市场化改革政策调整及2026年4月正式上网投运的风力发电项目收益不及预期的影响，赫普能源2026年上半年营业收入较以前年度收入水平大幅下降，所持有的电力营运资产面临较大减值风险。为切实维护公司及投资者利益、提高交易效率、降低交易成本，经审慎研判并与交易对方友好协商，公司决定终止原发行股份购买资产方案，磋商以现金方式进一步收购赫普能源股权。
