智通财经APP讯，优然牧业(09858)发布公告，于2026年8月5日，公司全资附属公司内蒙古优然牧业有限责任公司(“内蒙优然”)，与公司非全资附属公司内蒙古赛科星繁育生物技术(集团)股份有限公司(其股份在全国中小企业股份转让系统挂牌，股票代码：834179，“赛科星”)，订立不具法律约束力的意向书(“意向书”)，内容有关内蒙优然与赛科星之间的资产置换交易(“建议交易”)。
根据意向书：(a)赛科星须将其18间主要从事奶牛养殖业务的附属公司的全部股权出售予内蒙优然;(b)内蒙优然须将其2间附属公司(主要从事饲料、反刍动物养殖耗用品的生产及销售)的全部股权出售予赛科星;及(c)上述各项出售事项的代价差额，须由其中一方向另一方以现金方式结算。
内蒙优然及赛科星均于乳业上游产业链经营业务，因此双方营运存在若干重叠业务。
倘进行建议交易，赛科星可将其奶牛养殖及原料奶生产业务转让予内蒙优然，而内蒙优然则可将其饲料业务及奶牛超市业务转让予赛科星。因此，若进行建议交易，将可消除内蒙优然与赛科星之间的重叠业务，以便双方各自专注发展核心业务，并于集团内实现更清晰的业务分工及更高效的资源配置。
