美国特拉华州一名法官下令，要求数据分析公司Verisk尝试完成其计划中的23.5亿美元收购屋顶软件制造商AccuLynx的交易。此前七个多月，Verisk曾宣布终止该交易。
特拉华州衡平法院法官邦妮·大卫（Bonnie David）表示，Verisk终止该交易的行为无效，“因为其蓄意行为导致了交割先决条件的未能满足”。
去年12月下旬，Verisk曾表示，其终止交易的决定是基于美国联邦贸易委员会（FTC）的通知——该机构在12月26日（即终止日期）之前尚未完成对该交易的审查。
AccuLynx此前已通知Verisk，认为该交易终止无效。Verisk则表示强烈反对这一主张，并计划“坚决”捍卫其立场。
Verisk于2025年7月公布了收购AccuLynx的计划，该交易最初预计将于2025年第三季度完成。
美国联邦贸易委员会（FTC）去年10月要求Verisk和AccuLynx就拟议交易提供更多细节，这表明监管审查将延长，并推迟了交易的完成。
特拉华州法官周五表示，AccuLynx有权就直接成本及利息获得赔偿。
该交易尚需获得美国联邦贸易委员会（FTC）的批准。
