公司上述行为违反了相关规定。谢军作为公司董事长、陈鹏作为公司总经理、陈红照作为公司董事会秘书对上述违规行为负主要责任，违反了相关规定。根据规定，河南证监局决定对公司及谢军、陈鹏、陈红照采取出具警示函的监督管理措施，并记入证券期货市场诚信档案。
