蓝鲸新闻8月12日讯，近日，天津证监局发布行政监管措施决定书，剑指天津民祥生物医药股份有限公司及相关责任人。
决定书显示，民祥医药存在以下情形：未按规定披露2025年年度报告，补充披露相关人事及股东会决议公告不及时，为子公司提供担保未履行审议程序及信息披露义务。
以上行为违反了《非上市公众公司监督管理办法》和《非上市公众公司信息披露管理办法》的相关规定。公司董事长刘万里、副总经理兼董秘张毅对上述违规事项负有责任。
针对上述违法行为，天津证监局对民祥医药、刘万里、张毅采取出具警示函的监督管理措施，记入证券期货市场诚信档案。
