智通财经APP讯，通天酒业(00389)及要约人王赫先生联合公布，于2026年8月6日(交易时段后)，要约人通知受要约公司，彼有确实意向提出部分收购要约(遵照收购守则)，以要约价每股要约股份0.20港元收购要约人及其一致行动人士尚未拥有的5632.02万股要约股份(占受要约公司于本公布日期已发行股本总数约18.68%)。

于本公布日期，要约人及其一致行动人士持有 3383.98万股股份(占于本公布日期受要约公司已发行股本总数约11.22%)。

要约人自2024年8月起成为本公司的主要股东，并对受要约公司的业务发展感到乐观。因此，要约人有意透过作出部分收购要约，增加其于受要约公司的投票权，以便透过股东权利及投票权，对受要约公司及其管理层的公司行为、交易及董事提名产生更大影响力。

于要约人成为本公司主要股东后不久，受要约公司股份已自2024年9月2日起暂停买卖约18个月，并于2026年2月27日恢复买卖仅约 6个月。此外，要约人已考虑受要约公司于截至2025年12月31日止最近四个年度取得受要约公司拥有人应占综合全面开支总额;及受要约公司于截至2025年12月31日止最近十个财政年度并无宣派或派付股息。考虑到上述因素，要约人采取审慎投资策略，未有透过部分收购要约取回受要约公司的控制权。
