智通财经APP讯，吉利汽车(00175)发布公告，根据合并协议，并遵照股份奖励计划之规则以及上市规则第17章，所有紧接生效日期前未行使且未归属的极氪受限股份单位将基于适用要约比率转换为股份奖励计划项下的股份奖励。因此，合共5925名极氪受限股份单位持有人(持有未行使且未归属极氪受限股份单位所涉及的2758.7万股极氪股份)将收取合共3392.5万股授出股份。
于该等极氪受限股份单位持有人中：5253名为雇员参与者;及672名为关联实体参与者。
此外，本公司拟向3039名雇员参与者授出合共1.34亿股授出股份;向252名服务提供者(统称“其他承授人”)授出合共901.9万股授出股份;及向本公司两名执行董事(执行董事承授人)授出合共485万股授出股份。
极氪受限股份单位持有人、其他承授人及执行董事承授人均为股份奖励计划项下的合资格参与者(统称“选定参与者”)。
因此，根据上市规则第17.06A条，董事会宣布，于2026年8月20日，其决议根据股份奖励计划，透过转让本公司先前购回的库存股份;及根据计划授权限额发行及配发本公司新股份，向8364名选定参与者授出合共1.82亿股授出股份。总计1.82亿股授出股份约占于本公布日期已发行股份总数的1.68%及约占经配发及发行新授出股份扩大的已发行股份总数的1.66%。
