博泰车联（02889）公布，于2026年8月21日，该公司拟向中余投资收购广州海鸥住宅工业股份有限公司（002084.SZ）20%股权，代价8亿元，折合每股A股约人民币6.19元。收购事项完成后，公司将持有目标公司全部已发行股本的20%，并将成为目标公司的控股股东。
据悉，目标集团主要从事装配式整装厨卫空间内高档卫生洁具、陶瓷、浴缸、淋浴房、浴室柜、整体橱柜、瓷砖等全品类部品部件的研发、制造和服务。
董事相信，本次交易可为集团提供以下机会、裨益：（i）“软硬芯云”是集团的重要战略布局，本次交易将集团在智能汽车方面的能力向智能家居及其它相关终端场景进一步拓展，构建“车家一体”的战略布局，促进集团的长远发展；（ii）集团将利用相关运营管理经验以及产业资源优势，协助目标公司产业进行迭代升级，提升目标公司核心竞争力，促进目标公司长期、健康发展；（iii）本次交易能够帮助集团实现跨资本市场的布局，丰富集团的整体投资人基础。
