金吾财讯 | nVent Electricplc（NVT）达成最终收购协议，将以17.5亿美元基础对价收购Maverick Power，交易另设置最高5.5亿美元或有现金对价，对价兑付取决于2027-2028年业绩目标完成情况。交易预计2026年第四季度完成，交割后首年即可增厚公司调整后每股收益。本次交易基础对价对应的企业价值为标的2026年预期调整后EBITDA的11.5倍；计入税收优惠现值调整后，对应EBITDA倍数回落至10.5倍。公司表示，如果后续触发额外对价支付，本次收购的财务回报将得到进一步提升。业务层面，本次并购强化nVent在高增长基础设施赛道，尤其是数据中心领域的行业地位。Maverick Power带来全新配电平台，与公司现有数据中心产品形成互补，拓宽面向数据中心的新型电力架构、系统级解决方案及相关服务供给。
