智通财经APP讯，顺丰控股(06936)公布，公司间接全资子公司亮越公司拟行使丰巢 A 类普通股新股发行项下的优先认购权，并可酌情行使超额优先认购权。
根据公告，基础优先认购按每股 2.8489 元认购约 4682.91 万股丰巢 A 类普通股，对应对价 1.33 亿元;若行使全部优先及超额优先认购权，交易总对价上限为 3.05 亿元。假设亮越公司以上限金额行使超额优先认购权认购丰巢A类普通股，亮越公司将至多持有约1.07亿股丰巢股份，占丰巢股份的10.03%。
丰巢主要从事最后一公里物流解决方案及综合生活方式服务。认购事项将使公司能够保持对丰巢服务网络、技术及用户群体发展的影响力。董事会认为，认购事项符合集团深化参与最后一公里物流生态系统的战略，并通过多元化物流服务提升综合竞争力。
认购事项将由自有资金或集团自筹资金拨付，且预计将不会对集团的财务状况产生重大不利影响。董事认为，认购事项有利于集团长期发展，并符合公司及股东的整体利益。
