智通财经APP讯，晶合集成(02249)公布，陈小蓓女士因工作调整拟辞任公司第二届董事会非执行董事及董事会提名委员会成员职务。为确保董事会持续满足性别多元化要求，陈小蓓女士的辞任将于公司股东会选举产生新任女性董事之日起生效。
安广实先生因连续担任公司独立非执行董事即将满六年，按照有关法律法规的规定，拟辞任公司独立非执行董事，董事会审计委员会主席及提名委员会成员职务，其辞任将于公司股东会选举产生新任独立非执行董事之日起生效。
经提名委员会资格审查，董事会建议(i)委任杨国庆女士为公司非执行董事，并同时担任提名委员会成员;及(ii)盛明泉先生为公司独立非执行董事，并同时担任审计委员会主席及提名委员会成员，彼等的任期均自股东会批准之日起至第二届董事会任期届满之日止。
