智通财经APP讯，德泰新能源集团(00559)发布公告，于2026年8月21日，卖方、本公司(作为买方)及目标公司订立谅解备忘录，卖方拟出售而本公司拟购买销售股份及销售贷款，总代价为5.05亿港元，惟须受卖方、本公司及目标公司将予订立的买卖协议的条款所规限。本公司并无义务购买任何销售股份及销售贷款，除非所有销售股份及销售贷款的买卖同时完成。
据悉，目标公司主要业务为投资控股。目标集团的主要业务为经营该酒店，而其主要资产为该酒店。该酒店为澳门的一间四星级酒店，提供441间设备齐全、装修雅致的客房。该酒店于1997年开始营运，并于2005年完成全面翻新。
透过收购目标集团，本集团除在日本新雪谷的酒店业务外，将在澳门(亚洲主要旅游枢纽之一)拥有全年无休的市区酒店业务。此外，预期目标集团的整合将为经扩大集团带来协同效应，例如收入多元化、交叉推广、营运提升及资源重新配置。建议收购事项为本集团提供稳定且能产生收入的资产，并拥有良好的盈利往绩记录。
