Symrise said it inked a deal to sell its American terpene-ingredients producer to private-equity firm Mutares for an undisclosed sum as it focuses on growing other parts of the business.
The Holzminden, Germany-based group, which makes taste and scent ingredients for the food and cosmetics industries, said the divestment of AmeriTerpenes to Mutares would sharpen its portfolio and allow a greater focus on core growth areas.
AmeriTerpenes produces terpenes--biomolecules that provide odor and flavor--at factories in the states of Florida and Georgia.
"With the successful operational carve-out completed over the past months, the business has positioned itself well to continue its development under new ownership," Symrise said in a statement Tuesday.
The deal includes commercial agreements with AmeriTerpenes under its new owner Mutares, Symrise Chief Executive Jean-Yves Parisot said. The agreements cover long-term supply arrangements for terpene-based raw materials.
"This transaction gives a good example of how we are actively shaping Symrise for the future with continued portfolio management," Parisot said.
The two sides agreed to keep the financial details of the sale under wraps, but Symrise said the transaction will result in a noncash disposal impairment in the mid-double digits of millions of euros, broadly equivalent to a similar range in dollars. The loss will be booked in the company's 2026 financial results.
