新华社北京9月7日电（记者刘慧）中金公司9月7日发布公告显示，中国证监会当日出具了相关批复，同意中金公司以新增超31.04亿股股份吸收合并东兴证券、信达证券的注册申请。吸收合并完成后，东兴证券、信达证券依法解散，原东兴证券、信达证券分支机构变更为中金公司分支机构。
此外，证监会还分别核准东方资产、信达资产成为中金公司主要股东。两家公司依法取得中金公司股份后，占中金公司发行后股份总数分别为8.03%、16.76%。
相关批复显示，中金公司应当按照报送证监会的初步整合方案确定的方向，在一年内制定并上报具体整合方案，明确时间表，妥善有序推进整合工作。在整合工作完成前，中金公司应当切实做好与东兴证券、信达证券及其子公司的风险隔离，严格规范关联交易，严防利益冲突和输送风险。
