　　美格智能（03268）公布，于2026年9月4日，公司、兆格创业及星沅光电订立股东协议，据此订约各方同意于中国上海成立一家合资公司。合资公司拟注册资本为1亿元，公司、兆格创业及星沅光电分别出资7000万元、2000万元及1000万元。

　　随着AI产业发展从模型训练转向推理应用，AI数据中心对于算力及光互联的需求仍在持续增长。基于对AI数据中心光互联产业的调查研究和未来发展的信心，为推动公司业务从无线通信领域向光通信领域拓展，实现在端侧和数据中心侧的全面技术和产品布局，在整合公司上市公司平台资源优势、兆格创业团队优势、星沅光电技术优势基础上，合资各方拟共同投资设立合资公司。

　　合资各方设立合资公司进行技术和产品合作的方向如下：1、基于星沅光电开发的高端磷化铟激光器芯片等各类光芯片，开展光器件、光引擎及相关模块、子系统的研发设计和封装制造；2、在星沅光电研发的光芯片及其他可用光芯片资源基础上，整合供应链电芯片（DSP）等核心资源，开展数据中心光通信模块的研发设计和封装制造。在公司作为上市公司的平台基础上，设立合资公司将进一步提升公司的核心竞争力。
