智通财经APP讯，博泰车联(02889)发布公告，于2026年9月8日(交易时段前)，本公司与配售代理订立配售协议，据此，配售代理有条件及个别同意担任本公司配售代理，以尽力促使不少于六(6)名承配人按每股120.28港元的配售价认购最多488.9万股新H股。
配售价为每股120.28港元，相当于：(i)较2026年9月7日(即最后交易日及配售价厘定日期)在香港联交所报价的每股收市价140.50港元折让约14.39%;及(ii)较紧接最后交易日(不包括该日)前最后五(5)个连续交易日在香港联交所报价的每股平均收市价约150.34港元折让约19.99%。
配售股份数目占(i)本公司于本公告日期现有已发行H股约5.90%;及(ii)本公司经配发及发行配售股份后扩大的已发行H股(假设除配发及发行配售股份外，本公司的已发行H股于本公告日期至配售完成日期并无变动)约5.57%。
配售事项的所得款项总额预期约为5.88亿港元。配售事项的所得款项净额预期约为5.78亿港元(经扣除配售事项的相关费用及开支后)。按此基准，每股配售股份的价格净额约为118.30港元。
