金吾财讯 | Rocket Lab Corp（RKLB）宣布完成重大融资里程碑，已为即将收购铱星通讯（IRDM）筹集全额资金。根据公告，Rocket Lab已成功完成按市价发行股票计划，以每股市场价增发2930万股，成功募集约19.44亿美元的总收益。该资金将主要用于支付收购铱星通讯的现金对价。同时，铱星通讯已完成对其现有的17.75亿美元定期贷款协议的修改，获得了大多数贷款人的同意，修订了“控制权变更”条款以排除本次收购。交易完成后，Rocket Lab USA将为该笔定期贷款提供无担保担保。凭借ATM筹集的资金、修订后的定期贷款及现有自由资金，Rocket Lab已正式终止此前安排的36亿美元高级担保过桥贷款承诺，成功降低了高成本短期债务风险，建立了更为稳健且具成本效益的长期资本结构。本次收购案预计将于2027年年中完成，目前仍需获得监管部门的批准。
