金吾财讯 | 房地产投资信托Realty Income（O）与全球私募股权投资巨头KKR（KKR）周一宣布达成战略合作，双方将成立一家全新的欧元计价合资企业，旨在拓展欧洲优质净租赁商业地产市场。根据协议，KKR管理的资本账户将出资5.28亿欧元，收购该合资公司49%的股权；Realty Income将保留51%的控股权，并通过其欧洲运营平台继续负责资产的日常运营与管理。该交易预计于2026年9月30日完成。据悉，合资公司将接管Realty Income位于西班牙、爱尔兰、波兰和荷兰等四个欧洲国家的54处成熟商业地产（共140个单元），涵盖超市、交通服务、家居改善、家居饰品及汽车零部件等基础民生行业；在扣除管理费后，资产注入的初始资本化率为5.9%。预计第一年现金净营业收入（NOI）将达6770万欧元，加权平均剩余租期（WALT）为7.2年，复合年契约租金增长率为1.6%；投资级租户占资产组合基础租金比重达59%。Realty Income总裁兼CEO苏米特·罗伊表示，此次合作是公司将其在美国验证成功的私有资本模式引入欧洲的重要里程碑，不仅进一步开拓了除公开资本市场之外的多元化融资渠道，更为股东创造了极具长期成本优势的资本结构。
