金吾财讯 | 美敦力（MDT）周一宣布，已正式发起一项换股要约，拟剥离其前糖尿病业务部门MiniMed Group（MMED）至少80.1%的股份，以完成对该业务的完全拆分。根据要约条款，美敦力股东可以7%的折价，将其持有的美敦力普通股转换为MiniMed普通股。在不受换股上限约束的前提下，美敦力股东每提交价值100美元的美敦力普通股，预计可换取价值约107.53美元的MiniMed股票，每股美敦力股票最多可换取4.5939股MiniMed股票。在此之前，MiniMed已于今年3月完成首次公开募股（IPO），美敦力当时保留了约90%的股份（即2.528亿股MiniMed普通股）。美敦力方面表示，本次换股交易预计对公司及参与换股的美国股东而言均具备免税性质。
