Recce Pharmaceuticals Shareholder Proposes Board Changes, Nominates Four Directors

Recce Pharmaceuticals (ASX:RCE) substantial holder Gavin William Brown has proposed two shareholder resolutions, including a constitutional amendment to allow non-binding recommendations to directors and the establishment of an independent advisory council to review the company's clinical, commercial, and corporate strategy, according to an Australian bourse filing on Tuesday after market hours.

Brown has also nominated four candidates, Paul MacLeman, Jurgen Michaelis, Amos Meltzer, and Diana Forsyth, for election as directors at the annual general meeting, per the filing.

The company is assessing the validity of the proposals and nominations, with any valid resolutions to be presented to shareholders alongside the board's recommendations, the filing added.
