　　浦江中国（01417）发布公告，于2026年9月30日（联交所交易时段后），本公司与配售代理订立配售协议，据此，配售代理（作为本公司代理）有条件同意按尽力基准促使不少于六名承配人按配售价每股配售股份4.00港元认购最多3300万股配售股份。

　　配售股份相当于（a）于本公告日期的现有已发行股份总数约8.15%；及（b）经配发及发行配售股份扩大后的已发行股份总数约7.53%（假设自本公告日期起至完成日期，除发行配售股份外，已发行股份总数并无变动）。

　　配售价为每股配售股份4.00港元，较（i）股份于配售协议日期在联交所所报的收市价每股4.685港元折让约14.62%；及（ii）股份于紧接配售协议日期前最后五个连续交易日在联交所所报平均收市价每股4.828港元折让约17.15%。

　　假设所有配售股份均获配售，配售事项的所得款项总额预期将约为1.32亿港元，而配售事项的所得款项净额（经扣除有关配售事项的配售佣金及其他相关开支，其中包括专业费用）预期约为1.3亿港元，相当于每股配售股份的净发行价约为3.942港元。

　　本公司拟将所得款项净额主要用于租赁算力资源、提升研发能力、扩大客户覆盖范围及服务能力以及一般营运资金，预计所得款项净额将于2027年3月底前悉数动用。
