KFM金德（03816）复牌高开近19%，截至发稿，股价上涨18.72%，现报5.39港元，成交额174.74万港元。
KFM 金德发布公告称，发行本金额3.6亿港元可换股债券。按换股价每股2港元悉数行使换股权时，将合共发行1.8亿股换股股份，占已发行股本30%。集团预期将发行可换股债券所得款项净额中约25%用于及扩大在中国苏州及马来西亚的制造业投资；约50%用于一般营运资金；及约25%用于偿还银行贷款。
此外，香港立讯向该公司控股股东 KIG Real Estate 3.42亿股股份，相当于已发行股本57%，总代价6.84亿港元，相当于每股2港元。交易完成后，香港立讯及其一致行动人士将持有57%股权，按例须对所有已发行股份提出强制性全面要约。现金要约价每股2港元。香港立讯将不会提高要约价。
